License Agreement

1. Grant of License

Roaster ("we", "us", or "the Protocol") grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Roaster decentralized application ("dApp") on the Solana blockchain, subject to the terms set forth herein.

2. Platform Description

Roaster is a parimutuel rap battle marketplace built on Solana. Users create battles, create AI rap songs for a side, back sides with USDC, and compete for pool payouts and IP revenue share. AI-generated songs are created from a user-chosen side and angles. Winners are determined by an AI Jury — a panel of large language models that scores both songs on craft.

3. Permitted Use

You may use the dApp to:

  • Create rap battle markets by depositing the required USDC bond.
  • Create an AI rap song for a side by choosing a side and angles.
  • Back a side with USDC to take a parimutuel position.
  • Claim parimutuel payouts and IP Revenue NFTs after settlement.
  • Interact with AI-generated content produced by the Protocol.

4. Restrictions

You shall not:

  • Use the dApp for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to manipulate battle outcomes through bot networks, fake engagement, or coordinated inauthentic behavior on X.
  • Submit content that constitutes hate speech, threats of violence, doxxing, or illegal material. Profanity within rap bars is permitted.
  • Reverse-engineer, decompile, or attempt to extract the source code of the dApp's proprietary components.
  • Interfere with or disrupt the integrity of on-chain programs, battle vaults, or settlement processes.
  • Use the dApp if you are located in a jurisdiction where participation in parimutuel or prediction markets is prohibited.

5. Blockchain Transparency

All USDC deposits, backings, fee distributions, parimutuel settlements, and NFT minting operations are executed on the Solana blockchain and are publicly verifiable. Transaction data is immutable and cannot be altered or deleted by any party, including the Protocol.

The Roaster on-chain program manages battle vaults through program-derived addresses (PDAs). The Protocol does not hold user funds in custody. USDC moves directly from your wallet to on-chain battle vaults and is distributed according to the settlement logic encoded in the smart contract.

6. Fees

A 1.25% fee is applied to every backing, distributed as follows:

  • 0.25% to the battle creator
  • 0.60% to the side's rap creators
  • 0.30% to the protocol treasury
  • 0.10% to the referrer (if applicable)

Battle creation requires a non-refundable creation bond — in the token configured by the protocol — paid to the treasury. The exact amount is set per supported token and is enforced on chain at battle creation time.

7. IP Revenue NFTs

At settlement, IP Revenue NFTs (Metaplex Core) are minted per battle — to each side's rap creators. All intellectual property rights to AI-generated songs remain with the Protocol. IP Revenue NFTs do not grant ownership of the underlying song or its IP. Instead, they entitle holders to a share of revenue generated from the song once the protocol reaches $10,000 in cumulative revenue. The structure, terms, and mechanics of IP Revenue NFTs are subject to change as the platform evolves.

NFT ownership is permanent and always remains with the holder. However, NFT metadata (e.g., song URLs, display attributes) is mutable and may be updated by the Protocol during the beta / pre-product-market-fit stage to reflect improvements or corrections.

8. Disclaimers

No Financial Advice. Participation in Roaster battles involves financial risk. Backing a side constitutes a parimutuel wager. You may lose your entire contribution if your side does not win. Nothing on this platform constitutes financial, investment, or legal advice.

No Guarantee of Availability. The dApp is provided "as is" and "as available." We do not guarantee uninterrupted access. The Solana network, third-party wallet providers, and external APIs (including X) may experience downtime or disruptions outside our control.

Smart Contract Risk. While the on-chain program has been designed with security best practices, smart contracts may contain bugs. Use at your own risk.

Upgradable Program. The Roaster on-chain program is upgradable. The Protocol may deploy upgrades to expand battle functionality, add new on-chain actions, or improve the system. Upgrades will not alter existing settlement outcomes or remove user ownership of IP Revenue NFTs.

9. Termination

We reserve the right to suspend or terminate access to the dApp for any user who violates these terms. In the event of an emergency (e.g., exploit, critical vulnerability), the Protocol may cancel active battles and issue full refunds at its discretion.

10. Governing Law

This License Agreement shall be governed by and construed in accordance with applicable laws. Any disputes arising from the use of this dApp shall be resolved through good-faith negotiation before pursuing any formal proceedings.
